These Terms of Service ("Terms") govern your use of the Marshmemo mobile application ("the App") operated by Marshmemo ("we", "us", or "our"). By using the App, you agree to these Terms.

1. Acceptance of Terms

By downloading, installing, or using Marshmemo, you agree to be bound by these Terms. If you do not agree, do not use the App.

2. Description of Service

Marshmemo is an AI-powered note-taking application that allows you to record audio, upload files, and paste web links, then transform that content into organized notes, summaries, flashcards, quizzes, and other study materials using artificial intelligence.

3. Account Registration

You must create an account to use the App. You are responsible for:

• Providing accurate account information
• Maintaining the security of your login credentials
• All activity that occurs under your account

You must be at least 13 years old to create an account and use the App.

4. Subscriptions and Payments

Free Trial: New users receive a 7-day free trial with full access to all features. No payment is required to start your trial.

Subscription Plans: After the trial period, continued access requires a paid subscription. Plans are available on a monthly ($9.99/month) or yearly ($79.99/year) basis. Prices are subject to change with notice.

Billing: Subscriptions are managed through Apple's App Store or Google Play. Payment is charged to your App Store or Google Play account upon confirmation of purchase.

Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.

Cancellation: You may cancel your subscription at any time through your App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

5. Acceptable Use

You agree not to use the App to:

• Record conversations without the consent of all parties where required by law
• Upload or process illegal, harmful, or infringing content
• Attempt to reverse-engineer, decompile, or tamper with the App
• Use the App for any unlawful purpose
• Interfere with the operation of the App or its infrastructure
• Share your account credentials with others

6. Your Content

Ownership: You retain full ownership of all content you create, record, upload, or generate using the App. We do not claim any rights to your notes, recordings, or AI-generated outputs.

Local Storage: Your content is stored locally on your device. You are responsible for backing up your own data. We are not liable for data loss due to device failure, app deletion, or other causes.

AI-Generated Content: Content generated by the App's AI features (summaries, flashcards, quizzes, etc.) is provided "as is" for informational and educational purposes. We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose.

7. Intellectual Property

The App, including its design, code, features, and branding, is owned by Marshmemo and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the App.

8. Third-Party Services

The App uses third-party services (Deepgram, Google Gemini, Firebase, RevenueCat) to provide its functionality. Your use of the App is also subject to the terms and policies of these services. We are not responsible for the availability or performance of third-party services.

9. Disclaimers

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

AI Accuracy: AI-generated content may contain errors, omissions, or inaccuracies. It should not be relied upon as a sole source of information for legal, medical, financial, or other critical decisions.

Recording Laws: You are solely responsible for complying with all applicable laws regarding audio recording and consent in your jurisdiction.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARSHMEMO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE APP, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes through the App or by email. Continued use of the App after changes constitutes acceptance of the updated Terms.

12. Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time. Upon termination, your right to use the App ceases, but data stored locally on your device remains yours.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which Marshmemo operates, without regard to conflict of law principles.
